                    Notification of Substantial Shareholding

The Company received notification yesterday that MB Conn, 1st Country Pension
Scheme and Esher House Charitable Trust, all part of D G & M B Conn and
Associates, each purchased 10,000 ordinary shares in Highcroft on 11 March 2002.


Following these purchases, D G & M B Conn and Associates now have an interest in
537,206 ordinary 25p shares of Highcroft Investments which represent
approximately 10.4 per cent of the issued share capital as at today's date.
