              THE HENDERSON SMALLER COMPANIES INVESTMENT TRUST PLC

                               Change of Chairman

The Henderson Smaller Companies Investment Trust plc gives notification that on
21 March 2003, at the conclusion of the board meeting scheduled for that date,
Mr Peter Cadbury will retire from the board. He has been Chairman of the Trust
since 1989 and will be succeeded as Chairman on 21 March 2003 by Mr J D
Fishburn.

Dudley Fishburn, who is 56, joined the board in 1996. He is Chairman of HFC Bank
plc and on the board of Philip Morris Inc (US) and the recently launched public
company, the Beazley Group, a Lloyd's underwriter. (In the past, Dudley Fishburn
has been Executive Editor of The Economist, Treasurer of the National Trust,
Member of Parliament for Kensington and on the Board of Overseers of Harvard
University). Peter Cadbury said: 'I am delighted that Dudley has agreed to
succeed me as Chairman. He brings both broad business and economic skills which
have proved enormously valuable to the Board'.
