                         Annual General Meeting held on

                           Thursday 10 February 2005



Henderson Strata Investments plc hereby gives notification that, at the Annual
General Meeting of the Company held earlier today, all the resolutions, as set
out in full in the notice of meeting dated 22 December 2004, were duly passed.
One of the resolutions, that the Company continue as an investment trust, was an
ordinary resolution.  Two of the resolutions were special resolutions, one of
which gave authority to the Company to make market purchases of its own shares
up to a maximum of 1,869,891 ordinary shares (being 14.99% of the ordinary
shares in issue at 10 February 2005).
