                         Annual General Meeting held on

                            Wednesday 19 March 2008



Henderson Opportunities Trust plc ('the Company') hereby gives notification
that, at the Annual General Meeting of the Company held earlier today, all the
resolutions, as set out in full in the notice of meeting dated 28 January 2008,
were duly passed.  These included a resolution that the Company continue.  Three
of the resolutions were special resolutions, one of which gave authority to the
Company to make market purchases of its own shares up to a maximum of 1,230,423
ordinary shares (being 14.99% of the ordinary shares in issue at 19 March 2008).



The board resolved at its meeting earlier today that the Company will hold an
additional continuation vote at its Annual General Meeting to be held in 2009 in
respect of the year ending 31 October 2008.



The Company announces that Mr Burnett (Chairman) has bought 10,000 ordinary
shares in the Company and that Mr James Henderson (Portfolio Manager) has bought
50,000 ordinary shares in the Company.  Their purchases are in addition to those
made by Mr Smith and Mr Bryce (directors), details of which were announced
earlier in the year.
