Possible Share Issue

The Board of Henderson Diversified Income Limited (the 'Company') continues to
assess potential demand for new shares in the Company. In the light of the
manager's view of the attractiveness of the investment opportunity in current
markets, the Board announces that it is contemplating a placing of new shares in
