HEADLAM GROUP PLC - DISCLOSURE OF INTEREST IN SHARES

Headlam Group plc announces that it has today received the following
notification from Prudential plc in respect of notifiable interests in the
ordinary voting shares of 5p of the company.

In accordance with Part VI of  the Companies Act 1985 (as amended) (the 'Act'),
we write to inform you that Barclays PLC, through the legal entities listed
below, has a notifiable interest in the issued share capital of your company of
5.18%.

Details of this interest, together with a breakdown between registered holders
(as required by Section 202(3) of the Act), are set out below.

As at 29 September 2004 Barclays PLC, through the legal entities listed below,
had a notifiable interest in 4,430,902 ordinary shares of 5 pence representing
5.18% of the issued share capital of 85,614,365 units.
