InfraStrata plc (the "Company")

Issue of Equity, Total Voting Rights and Directors' Shareholdings

The Company advises that it has issued and allotted a total of 365,125 new ordinary shares of 10p each in the Company to the executive Directors. The Directors chose to accept the issue to them of shares in the Company in lieu of cash bonuses due. Dr Hindle has indicated that he will be selling 64,000 shares immediately at market price in order to pay the associated tax and Mr Gouws will similarly be selling 32,000 shares. The number of shares so issued and the resultant new beneficial holdings held by the Directors are as follows:

The issue price of these shares was 13.42p (being the average middle-market closing price of the previous three trading days). Application has been made for the new shares to be admitted to trading on AIM with dealings expected to commence on 29 December 2010.

Immediately following the issue of these shares, the total issued ordinary share capital of the Company will be 74,169,326 Ordinary 10p shares. There are no ordinary shares held in Treasury. Therefore the total number of voting rights in Infrastrata plc is 74,169,326 and this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
