On 31 August 2001, Greggs plc ('the Company') was notified that on 30th August
2001 the Trustees of the Bampton Trust ('the Trust'), a charitable trust of
which both Ian Davis Gregg, (a director of the Company) and Andrew John Davison
(a substantial shareholder in the Company) are trustees, had sold 10,000
ordinary shares of 20p each (0.08% of the issued share capital) at a price of
£30.25 per share.

The total beneficial and non-beneficial holdings of Ian Gregg and of Andrew
Davison following this transaction are:-
