Proposed change of Auditor

In accordance with section 520 (2) of the Companies Act 2006, a letter will shortly be posted to shareholders of the Company for information purposes only in relation to the statutory statement of circumstances received from PKF (UK) LLP in connection with its resignation as the Company's auditor.

The resignation follows the business combination of PKF (UK) LLP with BDO LLP which will result in PKF (UK) LLP ceasing to be a registered auditor in due course. Consequently the Directors have appointed BDO LLP as auditor to fill the casual vacancy.

PKF (UK) LLP has confirmed that there are no other circumstances that should be bought to the attention of the members and creditors of the Company. A resolution to appoint BDO LLP as auditor of the Company will be put to shareholders at the Company's next Annual General Meeting.

The letter will shortly be available for inspection at the National Storage Mechanism at www.morningstar.co.uk and also on the Company's website at www.greencoat-ukwind.com.
