notifiable interest in the ordinary 50p share capital of Great Portland Estates 
P.L.C. and that Liberty International PLC hold 19,357,538 ordinary shares of 50p
each in this Company, representing 9.53% of the issued share capital of the 
Company.

'Company')

As required under section 198 of the Companies Act 1985 ('the Act'), following a
transfer of beneficial interest in securities between companies in the Liberty 
International PLC group on 31st December 2001, notice is hereby given that 
Capital & Counties plc has ceased to be interested in, and Liberty International
PLC has become interested in 19,357,538 ordinary shares of 50p each in the
