Re: Sale of Treasury Shares

Grafton Group Plc announces that it sold 300,000 Ordinary Treasury Shares in
the market on Thusrday 27 September 2001 for Euro2.90 per share and the
Company has applied to the Irish Stock Exchange to have 300,000 Treasury
Shares re-listed on the Official List. These shares are already listed on the
Official List of the UK Listing Authority.
