Notice of Requisitioned General Meeting

 

On 24 December 2021, the board of directors of Good Energy (the "Board") received a requisition notice from Ecotricity Group Limited requiring the Board to convene a general meeting of shareholders for the purpose of considering two resolutions, namely:

  • an ordinary resolution to remove William Whitehorn from office as a director of the Company ("Resolution 1"); and
  • a special resolution to direct the Board not to dispose of the Company's generation assets without shareholder approval ("Resolution 2").   

Notice of the requisitioned general meeting is being posted to shareholders today and will shortly be available on the Company's website at: https://group.goodenergy.co.uk/investor-centre/agm-and-general-meeting-information/  

The requisitioned general meeting will be held at 9am on 11 February 2022 at the offices of SEC Newgate, 14 Greville Street, London, EC1N 8SB.  

All shareholders are entitled to attend and vote at the requisitioned general meeting. Shareholders are encouraged to vote online or by post. Proxy votes must be received by 9am on 9 February 2022.

Shareholders are urged to vote on the requisitioned resolutions. The Board unanimously recommends that you VOTE AGAINST both resolutions. Will Whitehorn has not participated in the recommendation on Resolution 1, as it relates to his own position as a director of the Company.
