NOTIFICATION OF SHAREHOLDER INTEREST



Gooch & Housego PLC announces that it was informed on 29 July 2003 by ISIS Asset
Management that two of its clients, The Aim Trust and 3PC Investment Trust, have
merged under the name of Active Capital Trust.



Following this merger, Active Capital Trust holds 1,544,000 ordinary 20p shares
in the Company, representing approximately 8.58 per cent. of the issued share
capital of Gooch & Housego PLC.
