At the Company's re-convened AGM, resolutions 1, 2 and 4 proposed were duly
passed. Further to the announcement dated 22 March 2002 on the resignation of
Mark Rothwell-Brooks from the Board, Resolution 3 for the re-election of Mark
Rothwell-Brooks was withdrawn.
