In accordance with DTR 3.1.4R, Wolseley plc announces the following transactions in respect of its ordinary share capital of 10 pence each by its Directors and Persons Discharging Managerial Responsibility ('PDMRs').

Under the recent rights issue (the 'Rights Issue'), qualifying shareholders had the right to buy 11 new Wolseley plc shares at 400 pence per new share for every 5 existing Wolseley plc shares held on the record date of 1 April 2009.

On 21 April 2009, the Directors and other PDMRs took up their rights in full and consequently acquired Wolseley plc shares pursuant to the Rights Issue as follows:

Options and awards over Wolseley plc shares 

Options and conditional awards of shares granted to Executive Directors and PDMRs under Wolseley's employee share schemes will be adjusted to compensate for the effect of the Capital Reorganisation and Rights Issue in due course.
