EVS shareholders approve a total gross dividend...

Liège - Belgium, May 18, 2010, EVS Broadcast Equipment S.A. (Euronext Bruxelles: EVS.BR, Bloomberg: EVS BB, Reuters: EVS.BR), (Pinksheets: EVBEF), the leader in Professional Digital Video applications for live and studio TV production, held today its Annual Ordinary Meeting of Shareholders. 48 shareholders representing 3.177.622 shares, or 23.3% of the company shares, attended physically or by proxy the shareholders meeting at EVS Head Office. All Board propositions have been approved and in particular the following points: 100% of the represented shareholders approved a total gross dividend of EUR 2.48 for fiscal year 2009 which implies the payment of a final gross dividend of EUR 1.48 (EUR 1.11 after payment of withholding tax of 25%, ex-date May 27, 2010, and payment date June 1, 2010). The shareholders also approved all proposed Board mandates renewals or first elections: Pierre L'Hoest, Founder, Managing Director, CEO, 6 years (approved by 96.2% of the votes), Michel Counson, Founder, Managing Director, CTO, 6 years (81.0%), Christian Raskin, independent, 1 year (100%), Acces Direct S.A., independent, 4 years, repr. by Pierre Rion (97.8%), Francis Bodson, 1 year (91.3%), Laurent Minguet, Founder, 1 year (82.5%), Jean-Pierre Pironnet, 1 year (79.9%). Thereby, two new Directors are joining the Board: · Christian Raskin (1947) has been a member of the Board of Management of Draka Holding, a major European cable company with leading positions in Belgium, the Netherlands and France. He holds a Master in Economics from the UCL in Belgium. In 1984, he cofounded Zetes Electronics (today Zetes Industries, listed on Euronext Brussels). He joined Draka in 1991 and was successively Managing Director of Plasma Optical Fiber BV in Eindhoven (Netherlands), Draka France, Draka Nederland BV, before joining the corporate office and the Board of Management of Draka in 2001. He will serve as independent Director on the Board of EVS. · Jean-Pierre Pironnet (1951) is Director of different non listed companies, and is managing private assets. He was an active shareholder of EVS from the foundation of the company until its listing in 1998, during which he played an important role. He is a Doctor in Medicine from the University of Liège. Cytindus SA, represented by Michel Delloye, saw its mandate expire after 13 years in the Board of EVS, of which he served 3 years as Chairman. According to the Corporate Governance rules, his independence qualification does expire at the end of 3 successive mandates. Cytindus's involvement as a shareholder and director started prior to the IPO back in 1997 and Michel Delloye has, since then, been key in the professionalization of EVS Board and Committees. He helped institutionalizing the company and his wise advices have always been helpful in the different development stages of EVS Group. The Extraordinary General Meeting did not meet the minimum required 50% legal attendance quorum. As a consequence, a new meeting is invited for June 7, 2010, with the same agenda: 1. Renewal Authorized capital 2. Issuance of 250,000 new warrants 3.
