Variable Option Cancellation

eVestment Company PLC 1 December 1999 The eVestment Company Plc ('the Company') Further to the Company's circular dated 29 September 1999 (the 'Circular'), proposing inter alia, the cancellation of the Variable Option (as defined in the Circular) over, in aggregate, 10 per cent. of the issued share capital of the Company at the date of the exercise of the Variable Option, at a price of 2.5p per ordinary share, the Company has now entered into the relevant agreements with the holders of the Variable Option, by which the Variable Option has been cancelled. In consideration for the cancellation of the Variable Option, the holders have been issued with 60,000,000 warrants to subscribe for 60,000,000 new ordinary shares in the Company at a price of 1p at any time up to 31 May 2004 ('New Warrants'), in place of their existing 60,000,000 warrants to subscribe for 60,000,000 ordinary shares at a price of 2.5p at any time up to 31 May 2004 ('Old Warrants'), which have accordingly been cancelled. The New Warrants are not, and will not, be admitted to trading on AIM or any other recognised investment exchange. Following the issue of New Warrants described above there are a total of 60,000,000 New Warrants in issue. Following the cancellation of the 60,000,000 Old Warrants, there are a remaining 67,000,000 Old Warrants in issue. The Old Warrants are traded on AIM.
