EXERCISE OF OPTION AND TOTAL VOTING RIGHTS

Domino's Pizza Group plc (the 'Company') announces that an application has been made to the London Stock Exchange and the UK Listing Authority for the admission to trading and admission to the Official List of 250,000 new ordinary shares (the 'New Shares').  These are being issued following the exercise of the first tranche of an option over a total of 3,000,000 shares, exercisable until 26 February 2021, granted by the Company as part consideration for an acquisition and announced on 27 February 2014.  The New Shares will, when issued, rank pari passu with the existing ordinary share capital of the Company.  Admission of the New Shares is expected to take place at 8.00 am on 23 June 2016.

Following admission, the Company advises that its capital will consist of 167,207,432 ordinary shares of 1.5625 pence each as at 23 June 2016, of which 1,357,530 are held in treasury.

Therefore the total number of voting rights in the Company is 165,849,902.   This figure should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
