                   Exercise of Option
                            
                            
The Company was informed on 22 December 1999 that
European Pizza Holdings Limited had on 21 December 1999 
exercised an option to purchase 375,000 ordinary shares 
('Ordinary Shares')held by International Franchise 
Systems, Inc. in which Colin Halpern, Chairman of the 
Company, is interested. The option agreement existed 
prior to the Company's flotation on the Alternative 
Investment Market and the exercise price was 34p per 
Ordinary Share.

Following the exercise of this option, Colin Halpern is
interested in 29,820,899 Ordinary Shares, representing
59.64 per cent. of the issued share capital of the
Company.
