The conditional agreement for the disposal of the SEI Macro Group to Avnet, Inc.
was today approved by Diploma PLC's shareholders at an Extraordinary General
Meeting.

Completion of the agreement remains conditional principally upon approval by the
German federal cartel office which is expected within the next three weeks.
