Diploma PLC 30 November 2006 NEWSRELEASE DIPLOMAPLC FOR IMMEDIATE RELEASE 30 November 2006 DIPLOMA PLC - DIRECTORS' INTERESTS IN SHARES Diploma PLC, the international group of specialised distribution businesses, has today been notified that the following Directors have both received ordinary shares in the Company and have disposed of ordinary shares in the Company, as set out below: No. of Ordinary Shares Received Sold Net Market Retained Price BM Thompson 45,431 18,627 26,804 £7.855p I Henderson 26,724 12,894 13,830 £7.855p NP Lingwood 27,615 15,994 11,621 £7.855p The shares were received pursuant to the vesting of an award of shares made on 7 January 2004 under the Company's Long Term Incentive Plan ('LTIP'). The vesting of the award was subject to performance conditions as set out in the LTIP and measured over a three year period ended 30 September 2006. Further details relating to the performance conditions will be set out in the Annual Report 2006, which will be posted to shareholders on 6 December 2006. The shares were transferred to the Directors by Ogier Employee Benefit Trustee Limited, as trustee of the Diploma Employee Benefit Trust ('the Trust'). At the same time, Ogier Employee Benefit Trustee Limited, on behalf of the Trust, acquired the 47,515 ordinary shares in the Company sold by the Directors at a market price of £7.855p. Accordingly the number of ordinary shares in the Company held by the Trust has, following this transfer and purchase, been reduced by 52,255 to 102,587. Each of the Executive Directors of the Company, BM Thompson, I Henderson, NP Lingwood, is deemed to be beneficially interested in all the shares held in the Trust from time to time by virtue of being a potential beneficiary under the Trust.
