Roxboro Group PLC 16 June 2003 16 June 2003 The Roxboro Group PLC Result of Extraordinary General Meeting The Roxboro Group PLC (the 'Company') is pleased to announce that at the Extraordinary General Meeting of the Company held today the special resolutions put to shareholders were duly passed. The special resolutions approved the proposed issue of one redeemable non-cumulative preference share of 75p ('B Share') for each ordinary share of 1p ('Existing Ordinary Share') and a 100 for 189 capital consolidation and sub-division of Existing Ordinary Shares of 1p each into new ordinary shares of 1.89p each ('New Ordinary Shares') (the 'Capital Reorganisation') and certain related matters and amendments to the Company's memorandum and articles of association, details of which are contained in the circular sent to the Company's shareholders on 22 May 2003 (the 'Circular'). The Extraordinary General Meeting of the Company held today followed the Extraordinary General Meeting of the Company held on 9 June 2003, at which shareholders passed the ordinary resolution approving the proposed disposal of the Weston Group. Completion of the disposal of the Weston Group occurred on 11 June 2003. The Capital Reorganisation is conditional on the Capital Reduction (as defined in the Circular) becoming effective (unless this condition is waived by the directors of the Company) and on Admission (as defined in the Circular). The Capital Reorganisation is expected to become effective on 30 June 2003, with the close of business on 27 June 2003 being the latest time for dealings in Existing Ordinary Shares and the latest time for the receipt of Early Redemption Forms (as defined in the Circular) in relation to the redemption of B Shares on the First Redemption Date (as defined in the Circular). Dealings in New Ordinary Shares and B Shares are expected to commence on 30 June 2003 which is expected to be the First Redemption Date for B Shares.
