the sale of shares on the 27th February 2001.

Orbis House 20 New Street St Peter Port Guernsey pursuant to Section 198 of the
Companies Act 1985 that Regulus Trustees Limited sold on 27th February 2001
3,500,000 (three million five hundred thousand) ordinary shares of 5 pence each
in DFS Furniture Company plc.

The number of shares of which Regulus Trustees Limited was the registered holder
immediately prior to such sale was 6,040,836 (six million forty thousand eight
hundred and thirty six) and immediately after such sale is 2,540,836 (two
million five hundred and forty thousand eight hundred and thirty six).
