September 2022 Semi-Annual Tender

The Company hereby announces the number of shares for determining the semi-annual restriction in respect of the September 2022 tender:

Euro Shares	115,416,173
Sterling Shares	147,460,022

This announcement should be read in conjunction with the Company's AGM circular dated 22 April 2022 and approved at the Company's AGM on 18 May 2022.

Please note that paragraph 1.6 of the terms of condition of the Semi-Annual Tender provides for changes of a technical or administrative nature to be made at the discretion of the Board.  Paragraph 2.3.1 should refer to the 'Tender Record Date' rather than the 'Annual Record Date'. The Board has therefore exercised its discretion and amend 'Annual Record Date' to 'Tender Record Date' in paragraph 2.3.1 in the terms and conditions of the Semi-Annual Tender. 

All other terms defined in the Company's prospectus dated 29 March 2019 have the same meaning in this announcement unless otherwise defined.
