Result of EGM and Separate Class Meetings


At the Extraordinary General Meeting of the Company and separate class
meetings of holders of Ordinary Shares and Non-Voting 'A' Ordinary Shares held
this morning, all of the resolutions were duly passed.


Provisional Allotment Letters are being posted to Qualifying Shareholders
today and dealings in the New Ordinary Shares, nil paid, are expected to
commence at 8.00 a.m. on Tuesday 12 June 2001. The latest time and date for
acceptance and payment in full is 3.00 p.m. on 2 July 2001.


Terms used in this announcement have the same meanings as those used in the
Company's prospectus dated 18 May 2001.
