                             Directors shareholding

The Company was informed on 24 May 2002 that Mr WO Mcllroy, a Director of the
Company, has purchased 216,000 ordinary shares of 1p each in the Company
('Ordinary Shares') at 3p per share. Mr WO Mcllroy now holds, with Oratorio
Developments (a company of which he is a director of) 11,216,000 Ordinary
Shares, representing approximately 20.66 per cent of the issued share capital of
the Company.
