Creston PLC 29 January 2001 CRESTON PLC SHAREHOLDERS APPROVE REPOSITIONING At an Extraordinary General Meeting today, the shareholders of Creston plc voted in favour of an Ordinary Resolution for the acquisition of the entire share capital of Synergie Consulting Limited and Marketing Sciences Limited, thereby giving approval for the transformation of the company into a Marketing Services Group. Dealings in Creston's shares, reclassified into the Media & Photography sector, are expected to commence on Wednesday 31 January 2001. The company's objective is to achieve rapid growth through the acquisition of high quality niche businesses which individually lack the infrastructure or resources to maximise their potential. These businesses will offer services such as market research, direct marketing, customer relationship marketing and telemarketing. The acquisition of Marketing Sciences Limited is the first step in this 'buy-and-build' strategy. An important criterion for further acquisitions is that they should have the potential to interact profitably with other companies in the Creston group. Such collaboration might either take the form of client networking or the development of new group products and services. Don Elgie is appointed Chief Executive Officer and Tim Alderson becomes Finance Director. They will assume their roles as soon as the acqusition of Marketing Sciences is completed. Don Elgie has spent much of his career in advertising and marketing and is a former UK and Europe Operations Director for Saatchi & Saatchi. Tim Alderson is a former Finance Director for the Products and Services Division of Thames Water and was subsequently a Principal in the management consultancy arm of KPMG. Two Special Resolutions were not carried at the EGM. The first concerned the power of the Board to allot equity securities; the second involved changes to the wording of the Memorandum of Association of the company. Neither affects the day-to-day running of the company. The Board has noted shareholders' views on these matters and intends to bring forward fresh proposals at a future date.
