Compagnie de Saint-Gobain.

Compagnie de Saint-Gobain is currently in the process of updating the number of
shares listed on the London Stock Exchange.

Application has been made to the UK Listing Authority for 81,159,523 previously
listed Ordinary shares to be re-denominated into shares of €16 each. These
shares are to be admitted to the Official List and Application has also been
made to the London Stock Exchange for these shares to be admitted to trading.

Application has simultaneously been made to The UK Listing Authority for a
further 5,303,244 Ordinary shares of €16 each, to be admitted to the Official
List and to the London Stock Exchange for shares to be admitted to trading.
These Shares were issued under various Share Option Plans and the Stock Dividend
payments of 1995,1996 and1997.

Dealings in all of the above shares are expected to commence on 26 June 2002.
