                          Purchase of Own Securities

On 26 July 2002 Colefax Group Plc bought for cancellation a total of 1,864,796
ordinary shares of 10 pence each (representing 7.99 per cent. of the issued
ordinary share capital of the Company) at a price of 72.5 pence per share.

Following the cancellation of these shares there will be 21,460,100 shares in
issue.
