Directors' Notification of Dealing in Shares

             CML MICROSYSTEMS PLC ('the Company')
                               
                    DIRECTORS SHARE DEALING
                               

The  Company was notified today that on 27 March 2000 the  wife
of  Mr  R  J Shashoua, a non executive director of the Company,
purchased  2,880  ordinary shares of 5p  each  in  the  Company
('Ordinary  Shares') at a price of £2.37p per  Ordinary  Share.
Following  this acquisition, Mr Shashoua's beneficial  interest
in  the  Company's issued ordinary share capital has  risen  to
53,330  Ordinary  Shares representing 0.37  per  cent.  of  the
Company's total issued ordinary share capital.
