             CML MICROSYSTEMS PLC ('the Company')
                               
                    DIRECTORS SHARE DEALING
                               

The  Company has been notified that on 24 November 1999 Mr G  J
Bates  and Mr R J Shashoua, director's of the Company, acquired
20,000  and  12,000 ordinary shares of 5p each in  the  Company
('Ordinary  Shares')  respectively at a  price  of  £1.83p  and
£1.67p   per   Ordinary  Share  respectively.  Following   this
transaction,  Mr Bates' and Mr Shashoua's beneficial  interests
in  the  Company's issued ordinary share capital has  risen  to
40,000  and  56,950  Ordinary Shares respectively  representing
0.29 per cent. and 0.41 per cent. respectively of the Company's
total issued ordinary share capital.
