             CML MICROSYSTEMS PLC ('the Company')
                               
                    DIRECTORS SHARE DEALING
                               
The  Company has been notified that on 13 December 1999 Mr R  J
Shashoua,  a non executive director of the Company, sold  6,500
ordinary  shares of 5p each in the Company ('Ordinary  Shares')
at  a  price  of  £2.68p  per Ordinary  Share.  Following  this
disposal,  Mr Shashoua's beneficial interests in the  Company's
issued  ordinary  share capital will be 50,450 Ordinary  Shares
representing  0.36  per  cent. of the  Company's  total  issued
ordinary share capital.
