In conformity with the Transparency Directive's Transitional Provision 6,
Churchill China plc would like to notify the market of the following:



Churchill China's issued share capital comprises 10,902,126 shares of 10 p each.
The Company does not have any Treasury Shares or any other non voting shares.



The total number of voting rights in 10,902,126 shares is therefore 10,902,126.



The above figures may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Churchill China plc  under the
FSA's  Disclosure and Transparency Rules.
