Syndicated Facility

CENTRICA PLC 6 September 1999 Centrica replaces its £1 billion working capital facility Centrica plc announced today that it had replaced its £1 billion syndicated working capital facility with a series of bilateral bank arrangements with fifteen banks. There was heavy interest in these new facilities which led to some scaling back of participation, reflecting Centrica's good credit profile. The facilities will be used primarily to support Centrica's anticipated US commercial paper programme, which will be launched shortly to part fund Centrica's £1.1 billion acquisition of the Automobile Association if it is approved by members later this month. It was underwritten in late 1996, then syndicated in March 1997 after Centrica's demerger from BG plc. The bilateral arrangements were neither underwritten nor syndicated, but are a series of one to one arrangements, using standard documentation, between Centrica and individual banks. No external 'arranger' was used; Centrica's own Treasury Department arranged the bilaterals.
