CENTRICA PLC PROPOSED RECOMMENDED ACQUISITION OF THE AUTOMOBILE ASSOCIATION FINAL OUTCOME OF THE SPECIAL GENERAL MEETING AND VOTE A Special General Meeting of the Automobile Association was held on 16 September 1999 to consider the resolutions necessary to approve the acquisition of the Automobile Association by Centrica plc. Following the announcement on 16 September 1999 of the overall result of the vote on the resolutions at the meeting, we can confirm that the exact outcome of the voting at the poll held at the meeting (which included proxy votes received in advance) was as follows: For Against Resolution 1 To alter the Rules 2,810,513 81,976 Resolution 2 To dissolve the Association in 2,813,560 78,918 accordance with the transfer procedure in the Rules as altered The resolutions were therefore passed by the required two-thirds majority. Based on the total number of eligible members as at 16 September 1999 of 4,425,535 and a total acquisition price to be paid by Centrica of £1.1 billion, each Eligible Member will in due course receive a cheque for £248.56p.
