Further to the notification made 5th October 2000 in respect of Merrill Lynch
Investment Managers Ltd and its affiliates in the Merrill Lynch Investment
Managers Ltd regarding the discretionary investment management of 25,368,387
(12.08% of the issued class) (previously 28,512,983 (13.6%)) of the ordinary
shares of 50p each of Carillion plc (the 'Company'), the Company has today
been notified by Merrill Lynch & Co Inc and Merrill Lynch Group Inc of an
interest in aggregate of 25,374,278 (12.08% of the issued class) (previously
28,518,874 (13.6%) of the Company's shares of 50p each (this includes the
interests of Merrill Lynch Investment Managers Ltd previously referred to).
