Carillion plc (the Company) - Annual General Meeting 11 May 2005: Resolutions

It is confirmed that all of the resolutions put to the Company's shareholders
at the AGM held yesterday were passed.

In accordance with paragraph 9.31(b) of the Listing Rules, copies of the special
resolutions have been forwarded to the UK Listing Authority's Document Viewing
