Directors' Notification of Dealing in Shares

The Directors of Carclo plc announce that they have an interest in 80,000
Ordinary shares of 5p each in the company, which were purchased on 28th July
2000 at a price of £1.50 per share, by a discretionary trust established to
administer the Carclo Deferred Share Bonus Plan for the benefit of Carclo
employees.

These shares include the following amounts purchased as contributed shares on
behalf of Directors:-
