                      Scheme of Arrangement ('the Scheme')


Cairn Energy PLC announces that court approval of the Scheme announced on 9
December 2002 was given earlier today.  The Scheme will therefore become
effective on 19 February 2003.  The listing particulars and circular to
shareholders relating to the Scheme are available from the Document Viewing
Facility of the UK Listing Authority.
