Share Buy-back Programme

C&C Group plc (the "Company") announces that the Company has entered into an irrevocable and non-discretionary arrangement with its broker, Investec Bank plc, to repurchase on its behalf and within certain pre-set parameters, ordinary shares of €0.01 in the capital of the Company ("Ordinary Shares"), to be cancelled, commencing on 12 March 2016 and continuing until 11 May 2016 or the maximum amount of Ordinary Shares to be purchased under the arrangements have been purchased. This arrangement is in accordance with Chapter 9 of the Irish Stock Exchange Listing Rules and Chapter 12 of the UKLA Listing Rules and the Company's general authority to repurchase Ordinary Shares.
