Technical Interest Adjustment

BT Group PLC 23 November 2001 BT Group plc BT Group plc announces that Royal Bank of Scotland Trust Company (Jersey) Limited (as Trustee of the BT Special Purpose Trust) (the Trustee) holds 56,580,000 ordinary shares in BT Group plc (BT Group Shares) and 56,580,000 ordinary shares in mmO2 plc (mmO2 Shares). These shares are derived from a subscription by the Trustee on 14 November 2001 for 56,580,000 ordinary shares in British Telecommunications plc (BT Shares), at a subscription price of 305.532p per BT Share, in connection with arrangements for satisfying sharesave options over BT Shares which are exercised in the six month period following the sanctioning of the scheme of arrangement of BT as described in the circular to BT shareholders dated 18 September 2001 (the Circular). Following the reconstruction of BT which was completed when BT Group plc and mmO2 plc became separate listed companies on 19 November 2001, these BT Shares are now represented by the Trustee's current holding of 56,580,000 BT Group Shares and 56,580,000 mmO2 Shares. The Executive Directors of BT Group plc, Sir Christopher Bland, Sir Peter Bonfield, Philip Hampton, Andy Green, Pierre Danon and Paul Reynolds are for Companies Act purposes treated as interested in all these shares, but it is not anticipated that they will receive from the Trustee a greater number of BT Group Shares and mmO2 Shares than those to which they are entitled on exercise of any sharesave options held by them, under the arrangements described in the Circular.
