     (Jersey) Limited, together with all employees of BT, as discretionary    
      beneficiaries of the Employee Trust;

   - a technical interest in 2,989,576 shares held in the name of Ilford      
     Trustees(Jersey) Limited, together with all employees of BT, as 
     discretionary beneficiaries of the Employee Trust No. 2.

   There have been no changes to the directors' beneficial holdings.
