   under the Top-up arrangements relating to the compensation to              
   option-holders for the 1997 special dividend, a technical interest in      
   19,920 shares held in the BT Employee Trust No.3 in the name of Ilford     
   Trustees (Jersey) Ltd.  These shares represent fractional entitlements when
   shares were transferred to qualifying employees, none of whom were         
   directors.

technical interest in 2,943,791 shares held in trust in the name of Ilford
