The company announces that it was notified on 23rd July 2002 that on 19th July
2002 Mr Jim Martin (Chief Executive) and Mr Tim Kowalski (Finance Director)
became technically beneficially interested in 71,067 ordinary shares of 10p each
in the company as a result of the N Brown Group plc No. 2 Employee Share
Ownership Trust being allotted the said shares at £1.95 each, and the directors
being potential beneficiaries under the said Trust.

As the result of this allotment the number of shares held by the No.2 Trust has 
increased to 152,334 shares.
