                    Notice of Annual General Meeting ('AGM')

The Company has convened its AGM to be held on 20 September 2006.  The AGM will
be held at 11:00 at the offices of The 4Less Group Plc, 1st Floor, 160 Brompton
Road, Knightsbridge, London SW3 1HW

A notice of the AGM will be sent to shareholders today.

The resolutions to be passed at the AGM will also include a change of name of
the Company to Baydonhill plc.
