• amendment of the Berkeley Group Holdings plc 2004(b) Long Term Incentive Plan

• Section 95 authority regarding the disapplication of pre-emption rights 

• authority to disapply pre-emption rights in relation to the 2004 (b) LTIP

• amendment to the rights attaching to the 2010 B shares to permit their early redemption
