Directors' dealings



Begbies Traynor Group plc ('Begbies Traynor' or 'the Company') was further
notified on 4th May 2005, that on 4th May 2005 the beneficial ownership in the
following ordinary shares of 5p each in the Company were gifted by the Begbies
Traynor National Partnership (a firm controlled by Ric Traynor and Andrew Dick)
to several existing members of Bebgies Traynor (North) LLP and Begbies Traynor
(Central) LLP).  This is in addition to the gift of the beneficial ownership in
250,000 shares in the Company details of which were released on 4th May 2005.



The legal title is, however, to remain in the name of the Begbies Traynor
National Partnership.



The recipients have agreed not to transfer the said shares for a period of two
years without Ric Traynor's and Andrew Dick's prior consent.



In accordance with the Placing Agreement (entered into, amongst others, between
Ric Traynor, Andrew Dick and Teather and Greenwood Limited on 28 September
2004), Teather and Greenwood Limited gave their prior written consent to the
transfers.
