Grant of Nil Cost Options to Directors and other Persons Discharging Managerial Responsibilities (together "PDMRs")

Beazley plc announces that grants of nil cost options under the Beazley plc Long Term Incentive Plan ("LTIP"), which was approved by shareholders at the AGM on 27^th March 2012, were made to the under mentioned PDMRs on 30^th March 2012.

In all cases there was no consideration for the grant of the award and the exercise price is nil for all the awards.  Ordinarily, 50% of each award will become exercisable in three years time, and 50% in five years time. The awards will vest to the extent that the performance condition is satisfied, and are also subject to the participant both meeting shareholding requirements and to their continued employment.

Beazley plc was informed of these transactions on 30^th March 2012.
