SUBJECT:  Transaction in Own Shares

The Board of Baronsmead VCT 3 plc announces that on 21 May 2009 the Company purchased 308,780 ordinary shares of 10p at a price of 91.75 pence per share to be held in Treasury.

The Company's issued ordinary share capital consists of 59,699,553 with voting rights of which 5,467,317 are held in Treasury. Therefore the total number of shares with voting rights in Baronsmead VCT 3 plc is 54,232,236 less buyback amount.

The above figure 54,232,236 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Baronsmead VCT 3 plc under the FSA's Disclosure and Transparency Rules.
