At a meeting of holders of the 4 per cent. Perpetual Debenture Stock held on 19
April 2002 an extraordinary resolution to approve the appointment of The Law
Debenture Trust Corporation p.l.c. as trustee for the holders of the 4 per cent.
Perpetual Debenture Stock in place of The Royal bank of Scotland plc was duly
passed.
